1Introduction and Service Description

Welcome to VoidAI ("VoidAI," "we," "us," or "our"). VoidAI operates a unified AI API platform that provides developers and businesses with streamlined access to multiple artificial intelligence models and services through a single, consolidated application programming interface. Our platform enables users to integrate advanced AI capabilities, including natural language processing, machine learning inference, and generative AI functionalities, into their applications and workflows without the complexity of managing multiple provider relationships.

These Terms of Service (the "Terms" or "Agreement") constitute a legally binding agreement between VoidAI and you ("User," "you," or "your"), whether personally or on behalf of an entity, concerning your access to and use of the VoidAI platform, including our website, API services, documentation, and all related services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

VoidAI provides a technology platform that aggregates and standardizes access to various third-party AI model providers, allowing users to make API calls through our unified interface. Our Services include API access, usage monitoring, billing management, technical documentation, and customer support. We continually enhance our platform to deliver reliable, scalable, and efficient AI integration solutions for developers, startups, and enterprise organizations.

Hosted Interfaces and Optional Frontends. VoidAI may provide access to additional web applications, hosted interfaces, or user-facing frontends (including, without limitation, chat applications, dashboards, and third-party or open-source interfaces) that connect to the Services. Such interfaces are provided for convenience only and may be modified, restricted, suspended, or discontinued at any time. Unless explicitly stated otherwise, access to any hosted interface is not guaranteed and is not a separate paid entitlement beyond the underlying subscription.

2Acceptance of Terms

By creating an account, accessing our platform, making API calls, or otherwise using any portion of the VoidAI Services, you expressly acknowledge and agree to be legally bound by these Terms of Service, as well as our Privacy Policy, which is incorporated herein by reference. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have the legal authority to bind such entity to these Terms, and references to "you" or "your" shall refer to such entity.

If you do not agree with any provision of these Terms, you must immediately discontinue all use of the Services and may not create or maintain an account with VoidAI. Your continued use of the Services following any modifications to these Terms constitutes acceptance of such modifications. These Terms apply to all users of the Services, including without limitation users who are browsers, developers, customers, merchants, vendors, and contributors of content.

Certain features of our Services may be subject to additional terms, conditions, or guidelines, which will be presented to you in connection with such features. All such additional terms are incorporated into these Terms by reference. In the event of any conflict between these Terms and any additional terms, the additional terms shall control with respect to that specific feature or service.

3User Accounts

To access the VoidAI Services, you must register for an account by providing accurate, current, and complete information as prompted by our registration process. You agree to maintain and promptly update your account information to ensure its accuracy throughout your use of the Services. You are solely responsible for safeguarding your account credentials, including your password and API keys, and for any activities or actions taken under your account.

You must be at least eighteen (18) years of age to create an account and use our Services. By creating an account, you represent and warrant that you meet this age requirement and that all information you provide during registration is truthful and accurate. You agree to immediately notify VoidAI of any unauthorized access to or use of your account or any other breach of security by contacting us at [email protected].

VoidAI reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion. You may not use another user's account without permission, create multiple accounts for fraudulent purposes, or use automated means to create accounts. Each account must correspond to a single legal entity or individual, and account sharing is prohibited except as explicitly permitted under Enterprise agreements.

You are responsible for all activity occurring under your account, including all API calls made using your credentials and all charges incurred. You agree not to sell, transfer, license, or assign your account, username, or any account rights without our prior written consent. Any attempt to do so shall be null and void.

4Subscription Plans

VoidAI offers various subscription plans with different usage limits, features, and pricing structures. Detailed information about available plans, including pricing, usage quotas, and included features, is available on our website and through your account dashboard. By subscribing to a plan, you agree to pay all applicable fees and charges according to the billing terms in effect at the time the charges are incurred.

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan, and are non-refundable except as expressly provided in these Terms or required by applicable law. You authorize VoidAI to charge your designated payment method for all fees associated with your subscription. If your payment method fails or your account is past due, we reserve the right to suspend or terminate your access to the Services until payment is received.

Usage beyond your plan's allocated limits may result in additional charges calculated at our then-current overage rates, or may result in throttling or temporary suspension of API access until the next billing period. You are responsible for monitoring your usage through the account dashboard and selecting an appropriate plan to meet your needs. Subscriptions automatically renew at the end of each billing period unless you cancel your subscription prior to the renewal date.

You may upgrade your subscription plan at any time, with changes taking effect immediately and billing adjusted on a pro-rated basis. Downgrading your plan will take effect at the beginning of the next billing period. Cancellation requests must be submitted through your account dashboard or by contacting support at least twenty-four (24) hours before the next billing date to avoid charges for the subsequent period.

Refund Policy. Except where required by applicable law, subscription fees are non-refundable. However, VoidAI provides a limited refund policy for first-time purchases: first-time subscribers may request a refund within seven (7) calendar days of the initial purchase date, provided the account’s total usage since purchase does not exceed both (a) 250,000 credits and (b) ten percent (10%) of the subscribed plan’s daily credit allowance. Annual subscriptions are eligible only under this 7-day refund window. Refunds are not available for partial billing periods, unused time, unused credits, overage charges, add-on purchases, or accounts terminated for violations of these Terms.

5API Usage Policies

Users must comply with all API usage policies and technical limitations established by VoidAI. Our platform implements rate limits to ensure fair usage and system stability for all users. Rate limits vary by subscription plan and are specified in your account dashboard. Exceeding rate limits may result in temporary throttling, request rejection, or account suspension.

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. Prohibited uses include, but are not limited to: attempting to circumvent usage limits or security measures; engaging in activities that could damage, disable, or impair our servers or networks; using the Services to develop competing products or services; reverse engineering or attempting to extract source code from our platform; conducting security testing without prior written authorization; transmitting malware, viruses, or malicious code; violating any applicable laws or regulations; infringing intellectual property rights; generating spam or unsolicited communications; creating content that is defamatory, obscene, or otherwise objectionable; impersonating any person or entity; or harvesting data from our Services without permission.

You are responsible for ensuring that your use of AI-generated content complies with all applicable laws, including but not limited to laws regarding privacy, intellectual property, defamation, and consumer protection. VoidAI does not monitor all API calls or generated content, but we reserve the right to review usage patterns and take appropriate action if violations are detected.

Users must implement appropriate authentication and security measures when integrating our API into their applications. API keys must be kept confidential and should not be embedded in client-side code or publicly accessible repositories. You agree to immediately notify us if you become aware of any security vulnerabilities or unauthorized access to your API credentials.

6Content Policy

Users are solely responsible for all content, data, and information transmitted through or generated using the VoidAI Services ("User Content"). You retain all ownership rights to your User Content, but you grant VoidAI a limited, worldwide, non-exclusive, royalty-free license to use, process, and store User Content solely to the extent necessary to provide and improve the Services.

You represent and warrant that you have all necessary rights, licenses, and permissions to submit User Content to our Services and that such content does not violate any third-party rights or applicable laws. VoidAI reserves the right, but has no obligation, to monitor, review, or moderate User Content. We may remove or refuse to process any User Content that violates these Terms or applicable law, or that we determine, in our sole discretion, to be objectionable.

Users must not use the Services to generate, transmit, or store content that: promotes violence, hatred, or discrimination; exploits or harms minors; contains graphic violence or gore; facilitates illegal activities; violates privacy rights; infringes copyrights, trademarks, or other intellectual property; constitutes harassment or bullying; contains adult content in violation of our acceptable use policies; spreads misinformation or disinformation; or otherwise violates community standards or legal requirements.

VoidAI implements automated content filtering and moderation systems, but these systems are not perfect. Users are responsible for implementing their own content moderation and filtering appropriate to their use case. We provide tools and guidelines to assist users in maintaining compliance with content policies, but ultimate responsibility for content generated through our Services rests with the user.

7Data Privacy

VoidAI is committed to protecting user privacy and handling data responsibly. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the practices described in our Privacy Policy.

We collect and process information necessary to provide the Services, including account information, usage data, API call logs, billing information, and technical data. We implement industry-standard security measures to protect data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

For users subject to the European Union General Data Protection Regulation (GDPR), VoidAI serves as a data controller for account and billing information, and as a data processor for User Content processed through our API. We comply with GDPR requirements, including providing data subject rights such as access, rectification, erasure, data portability, and objection to processing. User Content processed through our API may be transmitted to third-party AI model providers as necessary to deliver the Services. We maintain data processing agreements with these providers to ensure appropriate data protection standards. Users are responsible for ensuring they have appropriate legal bases for processing personal data through our Services and for complying with all applicable data protection laws.

We retain User Content only as long as necessary to provide the Services or as required by law. API request and response data may be temporarily logged for debugging, performance monitoring, and security purposes, with retention periods varying by data type as specified in our Privacy Policy. Users may request deletion of their data subject to our legitimate business needs and legal obligations.

8Third-Party Dependencies

The VoidAI platform integrates with and relies upon third-party AI model providers and service infrastructure. While we strive to maintain reliable service through our provider relationships, we do not control these third-party services and cannot guarantee their availability, performance, or continued operation. Service disruptions, model deprecations, or changes in third-party provider terms may affect the Services.

VoidAI makes no representations or warranties regarding third-party AI models, including their accuracy, reliability, suitability, or fitness for any particular purpose. AI-generated outputs may contain errors, biases, or inaccuracies, and users must implement appropriate validation and review processes for their use cases. We do not endorse or assume responsibility for outputs generated through third-party models.

Third-party providers may have their own terms of service, usage policies, and content restrictions that apply to your use of their models through our platform. You are responsible for complying with all applicable third-party terms. We may pass through certain requirements or restrictions from our providers, and failure to comply may result in service limitations or account termination.

Changes to third-party provider pricing, terms, or availability may necessitate changes to our Services, pricing, or features. We will make reasonable efforts to notify users of material changes, but we reserve the right to modify, suspend, or discontinue any aspect of the Services that depends on third-party providers with or without notice.

Hosted Open-Source and Third-Party Software. VoidAI may host, deploy, or provide access to certain third-party or open-source software for user convenience. Such software may be subject to separate licenses, usage restrictions, and technical limitations. VoidAI does not guarantee uninterrupted availability, compatibility, or continued operation of any hosted third-party or open-source interface, and VoidAI may modify, restrict, or remove access to such software at any time.

9Intellectual Property

All intellectual property rights in the VoidAI platform, including our website, API, documentation, software, trademarks, service marks, logos, and proprietary technology (collectively, "VoidAI Property"), are owned by or licensed to VoidAI. These Terms do not grant you any ownership rights in VoidAI Property. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely in accordance with these Terms.

The VoidAI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of VoidAI. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans mentioned in connection with the Services are the trademarks of their respective owners.

You retain all ownership rights to your User Content and any applications or works you create using our Services. However, you acknowledge that AI-generated outputs may not be protectable by copyright or other intellectual property rights under current law, and VoidAI makes no representations regarding the intellectual property status of generated content.

If you believe that content available through our Services infringes your copyright or other intellectual property rights, please notify us promptly at [email protected] with detailed information including: identification of the copyrighted work or intellectual property claimed to be infringed; identification of the allegedly infringing material and its location; your contact information; a statement that you have a good-faith belief that the use is not authorized; a statement that the information in the notification is accurate and that you are authorized to act on behalf of the owner; and your physical or electronic signature.

10Security

VoidAI implements reasonable administrative, technical, and physical security measures designed to protect the Services and user data from unauthorized access, use, or disclosure. Our security practices include encryption of data in transit and at rest, regular security assessments, access controls, monitoring systems, and incident response procedures. However, no security system is impenetrable, and we cannot guarantee that unauthorized access will never occur.

Users have responsibility for maintaining the security of their accounts and API credentials. You must use strong, unique passwords and enable two-factor authentication if available. You must not share your credentials with unauthorized parties or store them insecurely. You agree to immediately notify VoidAI of any suspected security breach, unauthorized access, or vulnerability by contacting [email protected].

Users must implement appropriate security measures in their own applications and infrastructure when integrating our API. This includes securing API keys, implementing authentication and authorization controls, validating and sanitizing inputs and outputs, protecting against common web vulnerabilities, and following security best practices. Users are responsible for any security incidents resulting from their failure to implement adequate security measures.

VoidAI conducts regular security audits and penetration testing of our platform. Users may not conduct security testing, vulnerability scanning, or penetration testing of our Services without prior written authorization. Unauthorized security testing may result in immediate account termination and legal action.

11Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE VOIDAI SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VOIDAI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

VOIDAI MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR SUITABILITY OF AI-GENERATED CONTENT OR OUTPUTS. USERS ARE SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY AND APPROPRIATENESS OF ANY OUTPUT FOR THEIR INTENDED USE CASE. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VOIDAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; ANY CONTENT OBTAINED FROM THE SERVICES; OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOIDAI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VOIDAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, the above limitations may not apply to you, and our liability shall be limited to the maximum extent permitted by law.

12Indemnification

You agree to defend, indemnify, and hold harmless VoidAI, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees and costs, arising out of or relating to: your use or misuse of the Services; your breach or alleged breach of these Terms; your violation of any law, regulation, or rights of any third party; your User Content or any content you submit, post, or transmit through the Services; your negligence or willful misconduct; or any claim that your use of the Services caused damage to a third party.

VoidAI reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with VoidAI in asserting any available defenses. You agree not to settle any matter subject to indemnification without VoidAI's prior written consent. This indemnification obligation will survive termination of these Terms and your use of the Services.

Your indemnification obligations under this section are in addition to, and not in lieu of, any other indemnification obligations you may have under separate agreements with VoidAI, including but not limited to Enterprise agreements or data processing agreements.

13Account Termination

VoidAI reserves the right to suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to: breach of these Terms; violation of applicable laws or regulations; failure to pay fees when due; fraudulent, abusive, or illegal activity; misuse of the Services; security threats; or at our sole discretion if we determine that your use of the Services poses a risk to VoidAI, other users, or third parties.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination does not relieve you of your obligation to pay any outstanding fees or charges incurred prior to termination.

You may terminate your account at any time by discontinuing use of the Services and submitting a cancellation request through your account dashboard or by contacting support. Upon termination by you or by VoidAI, we will cease providing the Services and may delete your account and data in accordance with our data retention policies. We are not required to retain your data beyond applicable retention periods.

Following account termination, VoidAI may retain certain information as required by law, for legitimate business purposes, or to enforce these Terms. Retention periods vary by data type as specified in our Privacy Policy. You may request complete deletion of your data subject to our legal and operational requirements by contacting [email protected].

14Force Majeure

VoidAI shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, pandemics, strikes or labor disputes, interruption of telecommunications or internet services, failure of third-party service providers, or any other event beyond VoidAI's reasonable control (each, a "Force Majeure Event").

In the event of a Force Majeure Event, VoidAI's performance obligations shall be suspended for the duration of such event. VoidAI will make reasonable efforts to mitigate the effects of the Force Majeure Event and to resume normal operations as quickly as possible. If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate the affected Services upon written notice.

Force Majeure Events include failures or disruptions of third-party AI model providers, cloud infrastructure providers, or other essential service dependencies, provided such failures are beyond VoidAI's reasonable control. VoidAI will not be liable for service interruptions, performance degradation, or unavailability resulting from such third-party failures.

15Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in the State of Delaware before a single arbitrator.

The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Additionally, claims for non-payment of fees may be brought in small claims court.

You agree that any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted. You agree to waive any right to a jury trial or to participate in a class action. In the event that the arbitration provision is found to be unenforceable or if you opt out of arbitration, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

Each party shall bear its own costs and attorneys' fees in any dispute, except that the prevailing party in arbitration may be awarded reasonable attorneys' fees and costs at the arbitrator's discretion. This dispute resolution provision shall survive termination of these Terms.

16Enterprise Provisions

VoidAI offers customized Enterprise agreements for organizations with specific requirements regarding service levels, support, security, compliance, or usage volumes. Enterprise customers may negotiate separate terms that supersede portions of these standard Terms. Enterprise agreements are documented in written contracts executed by authorized representatives of both parties.

Enterprise agreements may include provisions for: dedicated technical support and account management; service level agreements (SLAs) with uptime guarantees and performance metrics; custom billing arrangements; enhanced security and compliance features; priority access to new features; volume discounts; extended data retention policies; and other customized terms appropriate to enterprise deployments.

Enterprise customers with negotiated SLAs are entitled to service credits or other remedies as specified in their agreements in the event that VoidAI fails to meet committed service levels. Service level calculations, downtime definitions, and credit procedures are detailed in the applicable Enterprise agreement. Standard subscriptions are not subject to SLAs unless explicitly stated.

Organizations interested in Enterprise agreements should contact our sales team through our website or by emailing [email protected]. Enterprise terms take precedence over these standard Terms to the extent of any conflict, but all provisions not specifically addressed in an Enterprise agreement remain subject to these Terms.

17Modifications to Terms

VoidAI reserves the right to modify, amend, or update these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on our website with a revised "Last Updated" date and, where required or appropriate, by sending notification to the email address associated with your account or by displaying a prominent notice through the Services.

Your continued use of the Services following the posting of modified Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must discontinue use of the Services and may cancel your account. Material changes will typically take effect thirty (30) days after notice is provided, except that changes required for legal or security reasons may take effect immediately.

We encourage you to review these Terms periodically to stay informed of any updates. The version of these Terms posted on our website at any given time represents the current agreement between you and VoidAI. You can determine when these Terms were last revised by referring to the "Last Updated" date at the top of this document.

Price changes, new feature introductions, and non-material changes to the Services may be implemented without specific notice beyond updates to these Terms or our website. Continued use of the Services after such changes constitutes acceptance.

18Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect.

The parties agree that if a court finds any provision of these Terms to be unenforceable, the court should modify the provision to make it enforceable while giving effect to the parties' intent, rather than voiding the provision entirely. If such modification is not possible under applicable law, the provision shall be severed and all other provisions shall continue to apply.

This severability clause applies to all provisions of these Terms, including but not limited to limitations of liability, warranty disclaimers, arbitration provisions, and indemnification obligations. The goal of this provision is to preserve the overall agreement between the parties to the maximum extent possible, even if specific terms require modification or removal.

19Governing Law

These Terms and any dispute or claim arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any other jurisdiction.

You agree to submit to the personal jurisdiction of the state and federal courts located in the State of Delaware for purposes of litigating any disputes that are not subject to arbitration under these Terms. VoidAI has selected Delaware law as the governing law for these Terms.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. If you are accessing the Services from outside the United States, you are responsible for compliance with all local laws and regulations applicable to your use of the Services.

Nothing in these Terms limits VoidAI's right to seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property rights or confidential information.
